1. Scope and application
1.1 These Online Terms of Sale apply to all purchases of goods and/or services made through the website located at www.fyah.com.au and any related online store, checkout page, booking page or sales portal operated by FYAH ABN 88677150015 of Suite 315 / 10-20 Gwynne Street, Cremorne VIC 3121
1.2 By placing an order through the Website, the customer agrees to be bound by these Terms, together with any other terms displayed at checkout, including product descriptions, pricing, delivery information, refund terms and any applicable special conditions.
1.3 These Terms apply to online sales only, unless otherwise stated. Separate written terms may apply to wholesale, trade, customised, subscription, business-to-business or in-person transactions.
1.4 If there is any inconsistency between these Terms and any mandatory rights or remedies available under the Australian Consumer Law, the Australian Consumer Law prevails to the extent of the inconsistency.
2. Definitions
In these Terms:
Australian Consumer Law means Schedule 2 to the Competition and Consumer Act 2010 (Cth).
Customer, you or your means the person or entity purchasing goods or services from us through the Website.
Goods means any physical or digital products offered for sale through the Website.
Services means any services, bookings, consultations, digital services, subscriptions or other service offerings made available through the Website.
Terms means these Online Terms of Sale.
Website means www.fyah.com.au and any associated online sales, checkout or booking platform operated by us.

3. Eligibility to purchase
3.1 By placing an order, you represent that:
(a) the information you provide is true, accurate and complete; and
(c) you are authorised to use the payment method provided.
3.2 If you are purchasing on behalf of a business or organisation, you represent that you have authority to bind that business or organisation to these Terms.
4. Product and service information
4.1 We take reasonable care to ensure that descriptions, images, prices, availability and other information displayed on the Website are accurate and current.
4.2 Images of goods are for illustrative purposes only. Colours, packaging, dimensions and appearance may vary depending on screen settings, production variations or supplier changes.
4.3 Any measurements, specifications, timeframes or performance descriptions are estimates only, unless expressly stated otherwise.
4.4 We may update, withdraw or vary goods or services displayed on the Website at any time without notice.
5. Orders and acceptance
5.1 An order submitted through the Website is an offer by you to purchase the relevant goods or services for the price displayed at checkout.
5.2 We may accept or reject an order at our discretion, including where:
(a) an item is unavailable;
(b) there is an error in pricing or product information;
(c) payment is not authorised;
(d) delivery is unavailable to the nominated address;
(e) we reasonably suspect fraud, misuse or unauthorised activity; or
(f) the order otherwise cannot be fulfilled.
5.3 An order is not accepted until we issue an order confirmation or otherwise confirm acceptance in writing.
5.4 If we reject an order after payment has been received, we will refund the amount paid for that order, unless we are legally entitled to retain any amount.
6. Prices, GST and other charges
6.1 Prices are stated in Australian dollars unless otherwise specified.
6.2 Unless otherwise stated, prices are inclusive of GST.
6.3 Delivery fees, handling charges, payment processing fees, booking fees or other charges may apply and will be displayed at or before checkout where applicable.
6.4 We may change prices at any time. Price changes will not affect orders that have already been accepted, unless there has been an obvious error.
6.5 If a pricing error is identified before an order is accepted, we may cancel the order, contact you to confirm whether you wish to proceed at the corrected price, or provide a refund if payment has already been made.
7. Payment
7.1 Payment must be made using one of the payment methods offered at checkout, which may include credit card / debit card / PayPal / Stripe / Afterpay / Zip
7.2 You must provide accurate billing and payment information.
7.3 Payments may be processed by third-party payment providers. Your use of those payment services may be subject to the provider’s own terms and privacy policy.
7.4 We do not generally store complete credit card or payment card details.
7.5 If a payment is reversed, charged back, declined or dishonoured, we may cancel the order, suspend supply, recover any outstanding amount and charge reasonable administrative or recovery costs to the extent permitted by law.
8. Delivery and shipping
8.1 Delivery options, estimated delivery times and shipping costs will be displayed on the Website or at checkout.
8.2 Delivery times are estimates only and may be affected by stock availability, supplier delays, courier delays, weather events, public holidays, customs processing, peak periods or other circumstances beyond our reasonable control.
8.3 You are responsible for providing accurate delivery details. We are not responsible for loss, delay or additional costs arising from incorrect or incomplete delivery information supplied by you.
8.4 If an order is returned to us because it could not be delivered, we may require you to pay reasonable re-delivery charges.
8.5 Authority to leave instructions may be available for some deliveries. If you provide authority to leave goods unattended, delivery is deemed completed when the goods are left at the nominated address in accordance with those instructions.
8.6 We currently deliver to Australia only. International orders may be subject to customs duties, taxes, import charges or local regulatory requirements, which are the customer’s responsibility unless otherwise stated.
9. Risk and title
9.1 Risk in goods passes to you when the goods are delivered to the delivery address nominated in your order.
9.2 Title to goods passes to you when we have received full payment for those goods.
9.3 If you arrange collection of goods, risk passes to you when the goods are collected by you or your nominated representative.
10. Click and collect
10.1 Click and collect is not a service that is offered by FYAH
11. Digital products and online content
11.1 If digital products, downloads, online courses, templates or other online content are supplied, you are granted a personal, non-exclusive, non-transferable licence to use that content for the purpose described at purchase.
11.2 Unless expressly permitted, you must not copy, reproduce, share, resell, distribute, publish, modify, upload or commercially exploit digital products or online content.
11.3 Access to digital content may be provided by email, account login, download link or other method specified by us.
11.4 Due to the nature of digital products, refunds may not be available for change of mind after access or download, subject always to your rights under the Australian Consumer Law.
12. Subscriptions and recurring payments
12.1 If subscription products or services are offered, the subscription term, inclusions, billing frequency, renewal process and cancellation method will be displayed at or before checkout.
12.2 By purchasing a subscription, you authorise us and/or our payment provider to charge recurring payments using your nominated payment method.
12.3 You may cancel a subscription in accordance with the cancellation process stated on the Website or in your account settings.
12.4 Cancellation will take effect at the end of the then-current billing period unless otherwise stated or required by law.
13. Cancellations by you
13.1 You may request cancellation of an order by contacting us as soon as possible after placing the order.
13.2 We are not required to cancel an order where it has already been accepted, dispatched, customised, commenced or completed, except where required by law or expressly stated in these Terms.
13.3 If we agree to cancel an order, we may deduct reasonable costs already incurred, including payment processing fees, production costs, administrative costs, booking costs or delivery costs, to the extent permitted by law.
14. Cancellations by us
14.1 We may cancel an order where:
(a) goods or services are unavailable;
(b) there has been an error in price, description or availability;
(c) payment is not received or is reversed;
(d) delivery cannot be made to the nominated address;
(e) the order appears fraudulent, unlawful or in breach of these Terms; or
(f) fulfilment is prevented by circumstances beyond our reasonable control.
14.2 If we cancel an order after payment has been received, we will provide a refund of the amount paid for the cancelled order, unless we are legally entitled to retain any amount.
15. Returns, refunds and exchanges
15.1 Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law.
15.2 For major failures with goods or services, you are entitled to the remedies available under the Australian Consumer Law, which may include rejection of goods, a refund, replacement, compensation for the reduction in value of goods or services, or compensation for reasonably foreseeable loss or damage.
15.3 For non-major failures, we may choose to repair, replace or resupply goods or services, or provide another remedy required by the Australian Consumer Law.
15.4 To request a return, refund, exchange or remedy, you must contact us using the contact details in section 28 and provide:
(a) your name and contact details;
(b) order number or proof of purchase;
(c) details of the issue; and
(d) photographs or other supporting information, where relevant.
15.5 You are not entitled to a refund merely because you changed your mind, found the goods or services cheaper elsewhere, decided you no longer need them, or ordered the wrong item, unless we choose to offer change-of-mind returns or are required by law.
15.6 If we offer change-of-mind returns, the following conditions apply unless otherwise stated:
(a) the return must be requested within 14 days of delivery;
(b) goods must be unused, undamaged, in original condition and with original packaging;
(c) proof of purchase must be provided;
(d) the customer is responsible for return shipping costs; and
(e) original delivery fees are not refundable unless required by law.
15.7 Change-of-mind returns are not available for:
(a) customised, personalised or made-to-order goods;
(b) perishable goods;
(c) digital products after access or download;
(d) sealed goods where the seal has been broken and return is unsuitable for health, hygiene or safety reasons;
(e) sale or clearance items, unless required by law; or
(f) any other goods or services identified as non-returnable at the time of purchase.
16. Damaged, faulty or incorrect goods
16.1 If goods arrive damaged, faulty or incorrect, you should contact us within a reasonable time after delivery.
16.2 We may require photographs, inspection or return of the goods to assess the issue.
16.3 Where the goods fail to comply with a consumer guarantee under the Australian Consumer Law, we will provide the remedy required by law.
16.4 If goods are returned and found not to be faulty, damaged or incorrect, we may require you to pay reasonable inspection, return or re-delivery costs, to the extent permitted by law.
17. Customised or made-to-order goods
17.1 If you order customised, personalised or made-to-order goods, you are responsible for ensuring that all details, specifications, measurements, artwork, text, names, colours and other instructions are accurate.
17.2 We are not responsible for errors in customised goods arising from incorrect or incomplete information supplied by you.
17.3 Customised or made-to-order goods cannot be cancelled, returned or refunded for change of mind after production has commenced, subject to your rights under the Australian Consumer Law.
18. Customer accounts
18.1 You may be required to create an account to place orders or access certain Website features.
18.2 You are responsible for maintaining the confidentiality of your account login details and for all activity occurring under your account.
18.3 You must notify us promptly if you suspect unauthorised access to your account.
18.4 We may suspend or terminate an account where we reasonably believe it has been used unlawfully, fraudulently or in breach of these Terms.
19. Promotions, discounts and gift cards
19.1 Promotions, discount codes, vouchers and special offers are subject to any conditions stated at the time of issue.
19.2 Unless otherwise stated, discount codes:
(a) cannot be exchanged for cash;
(b) cannot be used with other offers;
(c) may be used once per customer;
(d) may expire on the stated expiry date; and
(e) may be withdrawn or varied at any time before use.
19.3 Gift cards or store credits are valid for the period stated at the time of issue, subject to applicable law.
20. Customer content and reviews
20.1 If you submit reviews, comments, photographs, testimonials or other content to us or through the Website, you grant us a non-exclusive, royalty-free licence to use, reproduce, edit and publish that content for business, marketing and promotional purposes.
20.2 You must not submit content that is false, misleading, defamatory, offensive, unlawful, infringing or otherwise inappropriate.
20.3 We may remove or decline to publish customer content at our discretion.
21. Intellectual property
21.1 All intellectual property rights in the Website, product materials, images, text, branding, designs, digital content, templates and other materials made available by us remain owned by us or our licensors.
21.2 You must not copy, reproduce, adapt, distribute, sell, publish, reverse engineer or otherwise exploit any part of the Website or our materials without our prior written consent, except as permitted by law.
22. Privacy
22.1 We handle personal information in accordance with our Privacy Policy, available at https://www.fyah.com.au/policies/privacy-policy
22.2 By placing an order, you acknowledge that we may collect, use and disclose personal information for purposes including processing orders, receiving payments, delivering goods, providing services, managing customer relationships, preventing fraud and complying with legal obligations.
23. Website availability and errors
23.1 We do not guarantee that the Website will be available at all times or free from errors, interruptions, viruses or security issues.
23.2 We may suspend, withdraw or restrict access to all or part of the Website at any time for maintenance, security, operational or business reasons.
23.3 We may correct errors, inaccuracies or omissions on the Website at any time without notice.
24. Limitation of liability
24.1 Nothing in these Terms excludes, restricts or modifies any right or remedy that cannot be excluded, restricted or modified under the Australian Consumer Law or any other applicable law.
24.2 To the maximum extent permitted by law, we are not liable for any indirect, consequential, incidental, special or loss of profit, revenue, goodwill, opportunity or data arising out of or in connection with your use of the Website or purchase of goods or services.
24.3 To the maximum extent permitted by law, our liability for any claim arising out of or in connection with these Terms is limited to:
(a) in the case of goods, replacement of the goods, supply of equivalent goods, repair of the goods, payment of the cost of replacing or repairing the goods, or refund of the price paid; and
(b) in the case of services, resupply of the services, payment of the cost of resupply, or refund of the price paid.
24.4 This section does not limit liability for fraud, wilful misconduct or any liability that cannot be limited by law.
25. Events beyond our control
25.1 We are not liable for delay or failure to perform any obligation where the delay or failure is caused by circumstances beyond our reasonable control.
25.2 Such circumstances may include natural disasters, extreme weather, fire, flood, pandemic, epidemic, government action, transport disruption, supply chain disruption, labour shortage, industrial action, cyber incident, telecommunications failure or payment system failure.
26. Changes to these Terms
26.1 We may update these Terms from time to time by publishing an updated version on the Website.
26.2 The Terms that apply to an order are the Terms in force at the time the order is placed, unless otherwise required by law.
26.3 Continued use of the Website after updated Terms are published constitutes acceptance of the updated Terms for future transactions.

28.2 We will review the complaint and seek to respond within a reasonable time.
28.3 Nothing in this section limits any rights you may have under the Australian Consumer Law or any other applicable law.
29. Governing law and jurisdiction
29.1 These Terms are governed by the laws of Victoria, Australia.
29.2 The parties submit to the exclusive jurisdiction of the courts of Victoria and the courts competent to hear appeals from those courts.
